Terms and Conditions of the 'Refer a Friend' Program

The entity ABANCA Corporación Bancaria, S.A., with registered office in Betanzos (A Coruña), C/ Cantón Claudino Pita nº 2, 15300, and with CIF A-70302039 (hereinafter, ABANCA), organizes the present program called “Refer a Friend”, which will be governed by the following legal terms and conditions (hereinafter, “Legal Terms and Conditions”).

What is the “Refer a Friend” Program?

The “Refer a Friend” Program is a promotion aimed at ABANCA clients, so that these clients can recommend to their family and friends the contracting of the Cuenta Clara or another bundled account and the direct deposit of their salary, pension, or self-employed contribution into it. These clients will hereinafter be referred to as “referrers” or, in the singular, the “referrer”.

A bundled account is understood as one in which the client contracts, in a single package of services, a current account and other products associated with it (e.g., debit card, credit card, mobile banking, and flat-rate insurance).

The “Refer a Friend” Program is valid only within Spanish territory.

What benefit does the referrer receive?

The referrer will receive 50 euros net (after the applicable tax withholding) in their ABANCA account for each effective referral of a Cuenta Clara or bundled account made. The referrer may refer up to a maximum of 10 Cuenta Clara accounts, so their maximum benefit for effective referrals made until the end of the promotion will be 500 euros.

The referral will be considered effective when ABANCA verifies that the person (family member or friend) to whom the referrer recommended the Cuenta Clara or bundled account meets the following requirements:

  • Is a new ABANCA client who has contracted for the first time a Cuenta Clara or bundled account through the abanca.com website or an ABANCA branch before December 31, 2025, entering or indicating the promotional code of their referrer. A new client is considered to be any individual who, in the month prior to contracting the Cuenta Clara or bundled account, is not in ABANCA’s client database or, if present, does not appear as the holder of any contract with ABANCA.
  • The client has set up a direct deposit of a salary or pension of at least €800 or a self-employed contribution of at least €50 into said Cuenta Clara or bundled account within a maximum period of 4 months from the account opening. This salary, pension, or self-employed contribution must be new to ABANCA, meaning it has not been directly deposited in the Entity in the 12 months prior to contracting the Cuenta Clara or bundled account.

Referrals made after the closing of the Program, on December 31, 2025, will not be considered.

This incentive will be credited to the referrer’s account within the first 10 days of the month following the verification of the effective referral (which will be when the first salary or pension deposit or self-employed contribution debit is recorded under the agreed conditions), under the concept “Refer a Friend Bonus”.

Notwithstanding the above, the benefit regulated in these Legal Terms and Conditions will not be granted, under any circumstances, to:

  1. Referrers who, at the time the right to the benefit arises, have outstanding payments, are in default, or have any other irregular situation with ABANCA, at ABANCA’s discretion;

  2. Referrers who, in ABANCA’s opinion, carry out any fraudulent activity within the scope of this Program.

What benefit does the new client who has contracted the Cuenta Clara or bundled account and set up a direct deposit of their salary, pension, or self-employed contribution with the referrer’s recommendation receive?

The new client will receive an incentive depending on the payroll, pension, or self-employed campaign contracted and the amount of the salary, pension, or self-employed contribution deposited. They may benefit from an incentive of €500 gross or €370 gross based on the campaign contracted and if the salary or pension is at least €1,200 or the self-employed contribution is at least €50; or an incentive of €185 gross if the salary or pension is at least €800 and less than €1,200. To benefit from this incentive, the new client must sign a 24-month commitment to remain with ABANCA.

This promotion is aimed at any new client within Spanish territory.

In any case, ABANCA reserves the right to accept or reject potential clients presented by the referrer according to its commercial and risk policy.

Who can be a referrer?

Any ABANCA client who has received a referrer number or code from ABANCA via email, SMS, or through Mobile Banking. (For clarification and in compliance with data protection regulations, ABANCA will not include as potential referrers those clients who have expressed their refusal to receive advertising for ABANCA products and services). The distribution of said number or code by the referrer to their family and/or friends will be understood as the express and unequivocal acceptance by the referrer of these Legal Terms and Conditions, and therefore, also of their participation in the “Refer a Friend” Program.

Expressly excluded as referrers are ABANCA employees or employees of other ABANCA Group companies, as well as their family members. Clients with outstanding payments, defaults, or accounts blocked for Anti-Money Laundering Prevention are also excluded from the campaign.

How long does the “Refer a Friend” Program last?

From May 1, 2025 until December 31, 2025.

What is the referrer number or code?

The referrer number or code will be provided by ABANCA via email, SMS, or through Mobile Banking. To link the referrer client with the new client who has been recommended, it is necessary that this new client: either enters the corresponding referrer number or code during the contracting process of the Cuenta Clara or bundled account through the abanca.com website in the corresponding box provided for this purpose; or, if contracting the Cuenta Clara or bundled account at a branch, provides the referrer number or code to the commercial manager at the time of contracting.

The distribution of this referrer number or code by the referrer to their family and/or friends will be understood as the express and unequivocal acceptance by the referrer of these Legal Terms and Conditions, and therefore, also of their participation in the ABANCA “Refer a Friend” Program.

General conditions of the ABANCA “Refer a Friend” Program

Participation in the Program: To participate in the ABANCA “Refer a Friend” Program, it is necessary to be the holder of an ABANCA account and to have received a referrer number or code via email, SMS, and/or Mobile Banking from ABANCA. As this is a commercial promotion, ABANCA, in compliance with data protection regulations, will not send the referrer number or code to clients who have expressed their refusal to receive advertising for ABANCA products and services.

Rules of use: The referrer agrees to participate in the Program in good faith, respecting these Legal Terms and Conditions and assuming any responsibility arising from any breach thereof.

Responsibility:

  • The referrer agrees to provide their referrer number or code solely and exclusively to those family and/or friends to whom they have recommended contracting the Cuenta Clara or bundled account and setting up the direct deposit of their salary, pension, or self-employed contribution into it. Consequently, the referrer will be solely and exclusively responsible for the distribution of their referrer number or code as established in this paragraph.
  • The referrer agrees to warn their family and/or friends to whom they provide their referrer number or code that they should not further distribute said number or code to third parties, so that the referrer ensures that only they control the distribution of their number or code. Consequently, ABANCA is not responsible in any case for the access and use of the referrer number or code by unauthorized third parties. Likewise, ABANCA will always consider that if a person, during the contracting process of the Cuenta Clara or bundled account, enters or indicates the referrer number or code, said number or code has been provided directly by the referrer for the purposes of the “Refer a Friend” Program regulated by these Legal Terms and Conditions.
  • The referrer will be liable to ABANCA and to third parties for any breach of these Legal Terms and Conditions.
  • ABANCA reserves the right not to admit or to exclude referrers who provide false, erroneous, or inaccurate data or who breach these Legal Terms and Conditions, as well as to block or reverse from their respective current accounts the amount of the benefit they may have obtained under this Program, if ABANCA becomes aware that the referrers have breached these Terms or have carried out, within the scope of the Program, any unlawful act or one that harms the assets or rights of ABANCA or a third party.

Taxation

In accordance with current regulations, the granting of the incentive by ABANCA constitutes a monetary investment income subject to Personal Income Tax (IRPF) for the recipient, remuneration subject, where appropriate, to the corresponding withholding obligation by the payer, in accordance with Article 75 of the Personal Income Tax Regulation, approved by Royal Decree 439/2007, of March 30.

Personal Data Protection Regime

a. Who is responsible for processing the referrer’s data?

It is ABANCA Corporación Bancaria, S.A. (hereinafter, “ABANCA”), with NIF A-70302039 and registered office in Betanzos (A Coruña), at Calle Cantón Claudino Pita nº 2, C.P 15300.

At ABANCA we have a formally appointed Data Protection Officer, whom the referrer can contact if needed, by writing to privacidad@abanca.com.

b. What personal data of the referrer do we process?

ABANCA may process: (i) the referrer’s data held due to the contractual relationships the referrer maintains with ABANCA (specifically, data relating to the referrer being the holder of an ABANCA account, the referrer’s contact details, and the necessary financial information to verify the absence of default or irregularity as provided in these Terms; and also: (ii) the data generated as a result of their participation in the “Refer a Friend” Program (e.g., the data relating to the benefit the referrer receives if the requirements set out in these Legal Terms and Conditions are met).

c. For what purpose do we process the referrer’s personal data and under what legal basis?

The processing of the referrer’s personal data is intended to manage and process their participation in the ABANCA “Refer a Friend” Program, in the event that the referrer accepts these Legal Terms and Conditions, which will occur if the referrer distributes their referrer number or code assigned by ABANCA to their family and/or friends.

The legal basis legitimizing this processing is the consent given by the referrer by participating in the ABANCA “Refer a Friend” Program.

d. How long will we keep the referrer’s data?

The personal data obtained as a result of participation in the Program will be kept for the duration of the referrer’s contractual relationship with ABANCA and, if the referrer has given their consent, will also be kept after the contractual relationship for a maximum period of 5 years.

Once the contractual relationship ends (or, where appropriate, after the 5-year period), the data will be blocked in accordance with applicable regulations, which means the identification and reservation of the data, adopting technical and organizational measures, to prevent its processing, except for the formulation, exercise, or defense of claims or for making it available to Judges and Courts, the Public Prosecutor’s Office, or the competent Public Administrations, for the purpose of attending to or demanding possible liabilities arising from the processing and only during the legal limitation periods.

After these periods, the personal data will be deleted.

e. What are the referrer’s rights?

Data protection regulations grant the referrer the following rights regarding the processing of their data: - Right of access: To know what type of data we are processing and the characteristics of the processing we are carrying out. - Right of rectification: To request the modification of their data if it is inaccurate or untrue. - Right to data portability: To obtain a copy in an interoperable format of the data being processed. - Right to restriction of processing in the cases provided by law. - Right to object to the processing of their data in the cases provided by law. - Right of erasure: To request the deletion of their data when processing is no longer necessary. - Right to withdraw consent given.

The referrer may exercise these rights by contacting ABANCA’s Customer Service at the postal address: C/ Rúa Nueva 1, Entreplanta, CP 15003, A Coruña, or by email at atencioncliente@abanca.com indicating the reference “Data Protection. Refer a Friend Program” and the specific right to be exercised. Likewise, the referrer has the right to file a complaint with the Spanish Data Protection Agency.

f. Referrer’s responsibility regarding information ABANCA provides about family and/or friends to whom the referrer has provided their number or promotional code

To justify the payment of the benefit that may correspond to the referrer in accordance with these Legal Terms and Conditions, ABANCA will communicate to the referrer only the following information regarding the family member or friend who has contracted the Cuenta Clara or bundled account and set up the direct deposit of their salary, pension, or self-employed contribution, under the referrer’s recommendation: the name of the family member or friend and the fact that they have contracted the Cuenta Clara or bundled account with ABANCA and set up the direct deposit of their salary, pension, or self-employed contribution into it.

The referrer agrees to maintain the strictest confidentiality regarding this information and, therefore, not to disclose it to third parties under any circumstances or use it for their own benefit or that of third parties.

Modification and cancellation of these Legal Terms and Conditions

ABANCA reserves the right to modify and/or cancel the “Refer a Friend” Program regulated by these Legal Terms and Conditions at any time if circumstances so require in ABANCA’s opinion, without assuming any responsibility for the modification or cancellation and committing to communicate such modification or cancellation in the same manner and through the same means used for these Legal Terms and Conditions.

Jurisdiction

The resolution of any dispute that may arise in relation to the interpretation and execution of these Legal Terms and Conditions will be subject to the jurisdiction of the Courts and Tribunals of A Coruña capital.

By distributing the referrer number or code assigned by ABANCA to their family and friends, it will be understood that the referrer knows and expressly and unequivocally accepts these Legal Terms and Conditions, and therefore, also their participation in the ABANCA “Refer a Friend” Program in accordance with them.
